Terms of Service
1. General
These terms of service ("Terms") apply to the suoja.ai service ("Service") provided by Nopea Labs Oy ("Service Provider", "we"). By using the Service, you accept these Terms in their entirety. If you do not accept these Terms, do not use the Service.
2. Description of the Service
suoja.ai is a managed private AI agent platform that provides each customer with their own isolated AI assistant. The Service includes:
- A dedicated AI assistant in an isolated environment (Docker container, dedicated network)
- Email and calendar features (JMAP/CalDAV integration)
- Web search functionality for up-to-date information retrieval
- Access management via a personal subdomain address (yourname.suoja.ai)
- LLM budget management and monitoring
The exact scope of the Service depends on the selected plan (Starter, Standard, Professional).
3. Registration and Account
Using the Service requires registration and placing a subscription order. By registering, you agree to provide accurate information. You are responsible for all activity under your account and for maintaining the confidentiality of your login credentials. Notify us immediately if you suspect unauthorized use of your account.
4. Payment Terms
4.1 Pricing
The Service is a monthly subscription. Current prices are available at suoja.ai/#hinnoittelu. Prices include value-added tax (VAT 25.5 %).
4.2 Billing
Payment is charged monthly in advance through the Stripe payment service. The first charge is made at the time of subscription, and subsequent charges are made monthly on the subscription start date.
4.3 LLM Budget
Each plan includes a defined monthly LLM budget (e.g., Starter: €30/month). If the budget is exhausted during the month, the AI assistant's response capability will be limited until the start of the next billing period. No additional charges will be incurred.
4.4 Price Changes
We reserve the right to change prices. Price changes will be communicated via email at least 30 days before they take effect. Changes will apply from the next billing period. If you do not accept the new price, you may cancel your subscription before the start of the next period.
5. Cancellation and Termination
5.1 Customer's Right to Cancel
You may cancel your subscription at any time without a commitment period. After cancellation, the Service will continue until the end of the paid billing period. The monthly fee already charged will not be partially refunded.
5.2 Service Provider's Right to Terminate
We reserve the right to terminate or suspend the subscription immediately if:
- The user materially breaches these Terms.
- The Service is used for illegal activities.
- Payment is overdue by more than 30 days (after Stripe's retry attempts).
5.3 Data Deletion After Cancellation
After your subscription ends, your AI environment and associated data will be retained for 7 days, during which you may request data export. After this period, the environment and data will be archived and deleted within 30 days, unless legislation requires a longer retention period.
6. User Obligations
You agree to the following:
- You will use the Service in accordance with Finnish law and these Terms.
- You will not use the Service to produce, distribute, or store illegal content.
- You will not attempt to circumvent LLM budget limits or other technical limitations of the Service.
- You will not attempt to access other users' environments, data, or system resources.
- You will not use the Service to distribute spam, malware, or other harmful content.
- You will not place unreasonable load on the Service or use it in a way that adversely affects other users.
- You will keep your login credentials confidential and not share them with third parties.
7. Data Ownership
7.1 Customer Data
You own all data you input to your AI assistant, your conversation history, email and calendar content, and all other data you produce through the use of the Service. We do not claim ownership of this data.
7.2 AI Outputs
Responses and content generated by the AI assistant are freely available for your use. Please note that AI outputs may contain errors and should not be considered professional, legal, or medical advice without independent verification.
7.3 Service Provider's Rights
The Service, its source code, trademarks, technical solutions, and documentation are the property of Nopea Labs Oy or its licensors. The right to use the Service is personal and non-transferable.
8. Service Level
8.1 Availability
We aim to provide the Service as reliably as possible. However, we do not guarantee uninterrupted availability. The Service may experience planned or unexpected downtime due to maintenance, updates, or technical issues.
8.2 SLA (Professional Plan)
Professional plan customers are offered a separate service level agreement (SLA), the terms of which are agreed upon at the time of subscription. The Starter and Standard plans do not include an SLA guarantee.
8.3 Third-Party Services
The Service uses third-party services (Google Cloud, Stripe, Vertex AI) whose availability and operation are beyond our control. We are not responsible for interruptions caused by these services.
9. Limitation of Liability
9.1 Service Provision
The Service is provided "as is". We make no express or implied warranties regarding the Service's fitness for a particular purpose, error-free operation, or uninterrupted availability.
9.2 Accuracy of AI Outputs
The AI assistant may produce inaccurate, incomplete, or misleading information. The Service Provider is not liable for the content of AI outputs or the consequences of decisions made based on them. It is the user's responsibility to verify the accuracy of AI-generated information before using it as a basis for decision-making.
9.3 Liability for Damages
The Service Provider's total liability is limited to the service fees paid by the customer during the preceding 12 months. The Service Provider is not liable for indirect damages, such as lost profits, data loss, or business interruption.
10. Force Majeure
The Service Provider is not liable for delays or failure to perform resulting from causes beyond its reasonable control, such as natural disasters, wars, strikes, government orders, telecommunications disruptions, or disruptions in third-party services.
11. Changes to Terms of Service
We reserve the right to amend these Terms. Material changes will be communicated via email at least 30 days before they take effect. Continued use of the Service after the changes take effect constitutes acceptance of the Terms. If you do not accept the changes, you may cancel your subscription before the changes take effect.
12. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of Finland. Disputes arising from these Terms shall be resolved primarily through negotiation. If no agreement can be reached, disputes shall be resolved by the Helsinki District Court.

13. Severability
If any provision of these Terms is found to be invalid or unenforceable, it shall not affect the validity of the remaining provisions. The invalid provision shall be replaced with a valid provision that most closely reflects its intent.
